The Government pronouncements on executive pay at the end of January, with proposals for a binding vote on the future pay policy for the Board as a whole, demonstrate that remuneration will be a major area of contention during the 2012 AGM season.
Whilst the 2010 AGM season was less contentious than the previous year, there were still instances where shareholders raised objections on the resolution to approve the Remuneration Report or another AGM resolution. The UK Corporate Governance Code was also updated and the FRC launched the new UK Stewardship Code. We discuss some of the implications of these new codes for the 2011 AGM season.
